Terms of Service — RepliIQ

1. Agreement to Terms

By accessing or using RepliIQ ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including trade businesses and their end-customers who interact with deployed chat agents.

2. The Service

RepliIQ provides AI-powered chat agents that Australian trade businesses ("Customers") can embed on their websites to answer customer enquiries, capture leads, and automate routine communications. The Service includes agent creation, knowledge base management, a dashboard, and a chat widget.

3. Accounts and Access

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials. You must be at least 18 years old and have authority to bind the business you represent. You agree to provide accurate and complete information when creating your account.

4. Acceptable Use

You agree not to use the Service to:

Provide false, misleading, or deceptive information to end-customers
Collect personal information without appropriate consent disclosures
Violate any applicable laws, including Australian Consumer Law
Upload content that infringes intellectual property rights
Attempt to circumvent usage limits or access controls
Use the Service for any illegal purpose

5. AI-Generated Content

The Service uses artificial intelligence to generate responses. RepliIQ does not guarantee the accuracy of AI-generated responses. You are responsible for reviewing the content your agent provides and ensuring it is accurate, compliant with applicable laws, and appropriate for your customers. You should not rely on AI-generated responses for medical, legal, financial, or safety-critical advice.

6. Billing and Payment

Paid plans are billed monthly or annually in Australian dollars (AUD) via Stripe. Your subscription renews automatically at the end of each billing period. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. We reserve the right to change pricing with 30 days' notice. Refunds are not provided for partial billing periods, except where required by Australian Consumer Law.

7. Free Trial

New accounts receive a 14-day free trial with access to all features. No credit card is required to start a trial. At the end of the trial period, access will revert to the Free tier unless you subscribe to a paid plan.

8. Data and Privacy

We collect and process personal data as described in our Privacy Policy. You remain the data controller for personal information collected from your end-customers through the chat widget. You are responsible for ensuring appropriate privacy notices are displayed to your end-customers. We act as a data processor on your behalf for this data.

9. Intellectual Property

You retain ownership of all content you upload to the Service (FAQs, business information, documents). You grant RepliIQ a limited licence to use this content solely to provide the Service to you. RepliIQ retains all rights to the platform, software, and underlying AI systems. We do not use your content to train AI models.

10. Limitation of Liability

To the maximum extent permitted by Australian law, RepliIQ is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability is limited to the amount you paid us in the 12 months preceding the claim. Nothing in these Terms limits liability that cannot be limited under the Australian Consumer Law, including consumer guarantees.

11. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance that causes temporary downtime, with reasonable advance notice where possible. We are not liable for losses arising from service interruptions outside our reasonable control.

12. Termination

You may terminate your account at any time. We may suspend or terminate accounts that violate these Terms, with or without notice depending on the severity of the violation. Upon termination, your data will be retained for 30 days before deletion, during which time you may export it.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of Victoria, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Victoria. If you are a consumer under Australian Consumer Law, nothing in these Terms removes any rights you have under that law.
